Placing of New Shares

("Third Quad Capital' or 'the Company")
Third Quad Capital PLC, the AIM listed alternative software vendor, is pleased to announce that it has successfully raised £200,000 before expenses by way of a placing of 40,000,000 new ordinary shares of 0.01p each in the capital of the Company ("new Ordinary Shares") at 0.5 pence ("Placing Price") per new Ordinary Share (the "Placing"). The Placing was undertaken with certain Directors of the Company and with existing and new investors.
The net proceeds of the Placing will be used for working capital purposes.
The 40,000,000 new Ordinary Shares to be issued pursuant to the Placing will rank pari passu in all respects with the existing issued ordinary share capital of the Company. Application has been made for the new Ordinary Shares to be admitted for trading on AIM and trading is expected to commence on 23 March 2010.
DIRECTORS’ HOLDINGS ON COMPLETION OF THE PLACING
Set out below are the current interests of the Directors participating in the Placing, the number of new Ordinary Shares taken up by those Directors pursuant to the Placing and their aggregate interests in the Company’s issued share capital following completion of the Placing:

TOTAL VOTING RIGHTS
Following the Placing, the issued share capital of the Company will increase by 11.4 per cent to 390,153,145 Ordinary Shares of 0.01p each. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure and Transparency Rules (as applied to the Company by AIM Rule 17).
